You ("Designer", "Contestant") hereby grant, represent and warrant that you have the right to grant to Mercury Development an irrevocable, worldwide, nonexclusive, royalty-free license for all the duration of the intellectual property rights to reproduce, distribute, publicly display and perform, prepare derivative works of, incorporate into other works, and otherwise use the submitted Content. By submitting the Content to the contest, the Contestant grants Mercury Development ("us") an irrevocable, worldwide, restriction-free, nonexclusive, and royalty-free right to use, download, copy, modify or adapt the content for almost any purpose, both commercial and non-commercial use. For the avoidance of doubt, this includes the right of Mercury Development to distribute the Content under the Mercury Development License or any other license offered by Mercury Development from time to time. The Content will be protected by Mercury Development copyright, trademark, trade secret and other intellectual property laws.

You are solely responsible for the Content you upload. You warrant that:

1. You own all proprietary rights in the Content you upload to the Contest;
2. The Content does not infringe the copyright, property right, trademark or other applicable rights of any third parties; and

You agree and undertake not to:

1. Sell or license the Content on its own;
2. Infringe the intellectual property rights of us or others;
3. Distribute or publish the Content, electronically/digitally or in any form (hard or soft);
4. Authorize any third party to use the Content for any purpose;
5. Share the Content across any network, distribute it on media devices, websites or in any other way;
6. Use this Content for any purpose other than for evaluation or personal use;
7. Use or re-create the look and feel of the Content or anything substantially similar to it.
